These Terms of Use reflect the way Medtiles operates its business, the laws applicable to our company, and certain aspects that we have always believed to be true. As such, these Terms of Use help define the relationship between Medtiles and you when you interact with our services. It is important to understand these terms because, to use our services, you must accept these terms. We recommend that you save these terms for future reference. In addition to these terms, we also publish a Privacy Policy. Although it is not an integral part of these terms, we encourage you to read it for a better understanding of how we operate and how the handling of personal data and privacy are crucial topics for us. These terms help define the relationship between you and Medtiles. When we refer to "Medtiles," "we," "us," and "our," we mean Medtiles, Lda., website, and app. In general, we grant you permission to access or use our services if you agree to comply with these terms. By using these terms, you are accepting and agreeing to the terms set forth herein, and you are bound to comply with them. If you do not accept or agree with what is established in our Terms of Use, you cannot use our services. Please note that if you are using the services we provide on behalf of a third party - a company or other legal entity, you remain individually bound by these terms of use, even if the third party has entered into a separate agreement with Medtiles.

Acceptance of the Terms of Use

The following terms of use, including, where applicable, all appendices (the "Terms of Use") govern the use of: (1) our website located at https://med.tiles-ai.com (the "Website"); (2) our mobile application (the "Medtiles Mobile App"); and (3) our desktop application (the "Medtiles Desktop App"); (4) our desktop application focused on Medical Training (the “Medtiles Tutor“); and (5) all other products or services provided by us. These Terms of Use constitute an agreement between Medtiles, Lda. ("Medtiles," "we," "us," "our") and the user.

Terms Applicable to Healthcare Professionals

In addition to the terms and conditions set forth in the main body of these Terms of Use: if you are a Healthcare Professional, the provisions set forth in Appendix A (Terms Applicable to Healthcare Professionals) apply.

Changes to These Terms of Use and Platform

Except when prohibited by applicable law, we reserve the right to change these Terms of Use at any time, without prior notice. If you continue to use the Platform after any changes to these Terms of Use, you are accepting those changes. It is your responsibility to review these Terms of Use regularly to detect changes. We reserve the right to, at any time and periodically, change, without prior notice, any information, material, or content included or provided through the Platform.

Use of the Platform and Service Eligibility

As a condition for being granted the right to use the Platform, the user declares, agrees, and warrants that: (1) you have the legal competence to create a binding legal obligation and, in doing so, will not violate any other agreement to which you are a party; (2) if you are an individual, you have reached the age of majority; (3) you are not currently restricted from using the Platform, or prohibited from having a Medtiles Mobile or Desktop Application account; (4) you are not a competitor of Medtiles or using the Platform for reasons that compete with the Medtiles App; (5) you will only maintain one Medtiles Mobile or Desktop App account at any time; (6) you will not violate any rights of Medtiles, including intellectual property rights, such as copyright or trademark rights; (7) you agree to provide, at your own cost, all equipment, software, and Internet access necessary to use the Platform; and (8) you will use the Platform in accordance with these Terms of Use. We reserve the right, at our sole discretion, to temporarily or permanently deny your access to the Platform (or any part thereof) for violation of these Terms of Use.

Notifications and Service Messages

Any notifications or other communications permitted or required under this, including those relating to modifications to these Terms of Use or our Privacy Policy, will be made in writing and provided: (1) by Medtiles via email (in each case to the address you provide); or (2) by posting on the Website; or (3) through the Medtiles Mobile App. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted. You acknowledge and agree that we will have no liability associated with or arising from your failure to maintain accurate contact or other information, including, but not limited to, your failure to receive critical information about the Platform.

License Grant

We grant you a personal, revocable, non-exclusive, non-sublicensable, and non-transferable license during the term ("Term") to use the Platform in accordance with these Terms of Use solely for the Permitted Use. You grant us an irrevocable, fully paid-up, royalty-free, and worldwide license to access, collect, store, disclose, and use any data, information, records, and files that you upload, transmit, or input into the Platform for the purposes of: (1) providing the Platform; (2) developing and improving the Platform; (3) complying with applicable laws; and (4) complying with our reasonable data audit and retention policies.

Ownership

All copyright and/or related rights and/or rights relating to computer programs/software and/or industrial property rights, as well as any others of a similar nature, commonly referred to collectively as ("Intellectual Property"), among others, relating to any and all products or services, design projects, technological solutions or technical documentation, design work, manuals, databases, simple ideas or know-how, trade secrets, technical commercial sales/marketing information, relating to the Platform are the exclusive property of Medtiles. The use in any form, in whole or in part, by any person, of anything related to the type of intellectual property rights mentioned above that are the exclusive property of Medtiles requires prior written authorization from Medtiles. The Platform and all materials provided by us are licensed and not "sold" to users. We expressly reserve all rights to the Platform (and any part thereof) that have not been specifically granted to you in accordance with these Terms of Use. The user acknowledges and agrees that all rights, titles, and interests in the Platform (and any part thereof), all information, materials, or content provided by us to the user in relation to these Terms of Use, and any updates, adaptations, translations, customizations, or derivative works of any of the foregoing, shall remain with us (or with our third-party suppliers, if applicable).

Security

You must register for a user account (the "User Account") using the interfaces available on the Platform and provide a valid and functional email address and password to access and use the Platform and communicate with other users through the Platform. After registration, the user will select a password. Your email address, password, and any codes assigned to you are collectively your "User Information." The user is responsible for keeping their User Information secure and will not share their User Information with anyone else. The user is responsible for all acts or omissions performed under their User Information. You agree to immediately notify Medtiles in writing by email (info@tiles-ai.com) of any unauthorized use of your User Information or any other security breach. Medtiles is not and will not be responsible for any damage arising from or related to the theft of your User Information, your disclosure of your User Information, or the use of your User Information by another person or entity. We reserve the right to disable any User Account assigned to you at any time if we reasonably believe or suspect that the User Information has been used in violation of these Terms of Use or otherwise misused.

Registration

To register, the user must provide their name, email address, gender, and other information specified in the registration form ("Registration Data"). The user declares and warrants that: (1) the Registration Data they provide about themselves is true, accurate, current, and complete; and (2) they will maintain and promptly update the Registration Data to keep it true, accurate, current, and complete. The user authorizes Medtiles, at its sole discretion, to confirm the truthfulness and accuracy of the Registration Data. If you provide any information that is false, inaccurate, not current, or incomplete, or if Medtiles has reasonable grounds to suspect that such information is false, inaccurate, not current, or incomplete, Medtiles has the right to suspend or terminate your User Account and refuse all current or future use of the Platform.

Privacy Policy and Privacy Assurance

Click on the following hyperlink to view our current Privacy Policy, which contains important information about our practices for collecting, storing, using, and disclosing personal data, and which is incorporated into and forms part of these Terms of Use: "Privacy Policy". The user agrees and warrants that: (1) they will always comply with all applicable laws (including all applicable privacy laws); and (2) all information, materials, or content they provide to us will not contain information about an identifiable individual or information ("Personal Data") that is otherwise subject to applicable laws or regulations, including, but not limited to, any applicable laws, rules, or regulations related to personal health information and personal information and privacy, depending on your country or jurisdiction of access to the Platform, except with respect to Personal Data for which you have obtained all applicable third-party consents, authority, and authorizations, and made all applicable third-party disclosures, in each case, if and as required by applicable laws (including privacy laws), relating to all collection, storage, use, disclosure, and transmission, including to us and to all applicable third parties. The user is solely responsible for their individual compliance with applicable laws. Please note that certain information, statements, data, and content (such as photographs) that you may submit to the Platform, or groups you choose to join, may or are likely to reveal your gender, ethnic origin, nationality, age, and/or other personal information about you. The user acknowledges that the submission of any information, statements, data, and content to us is voluntary on their part.

User Content Terms

All content generated by a registered user on the Platform ("Registered User"), including all message data transmitted through the Medtiles Mobile App, must comply with European and national privacy legislation, as well as applicable best practices. Any and all identifying information or elements that could serve as an identifier must be removed. When submitting images through the Platform, you must remove all personal identification information (or information that could be used to identify an individual) relating to the person in the image and their family members, employers, or household members. This includes, among others, the following: (a) names; (b) all geographic subdivisions smaller than a state or province, including address, city, county, district, zip code, and equivalent geographic codes; (c) all elements (except the year) for dates directly related to an individual, including date of birth, date of admission, date of encounter with the patient, date of discharge, date of death, and exact age if over 89 years; (d) telephone numbers, fax numbers, email addresses; (e) social security numbers, national identification number, or equivalent; (f) medical record numbers; (g) health plan beneficiary numbers; (h) account numbers; (i) certificate/license numbers; (j) vehicle identifiers and serial numbers, including license plate numbers; (k) device identifiers and serial numbers; (l) Web Universal Resource Locators (URLs); (m) Internet Protocol (IP) address numbers; (n) biometric identifiers, including fingerprints and voiceprints; (o) full-face photographic images and any comparable images, such as photographic images of scars, tattoos, piercings, etc., that allow identification; (p) and any other unique identifying number, characteristic, or code. The Registered User agrees and warrants that they have removed all identifying information and that they have no actual knowledge that the images can be used alone or in combination with other information to identify the person who is the subject of the information.

Ownership and Security of Content

Medtiles does not claim ownership of any content that you post on or through the Platform. Any information you provide will be protected with industry-standard protocols and technology. Medtiles is certified with ISO-27001 (international standard for managing information security risks held by organizations).

Subscription/Usage Fees

Currently, Medtiles does not charge fees for the use of the Platform. However, you acknowledge and agree that Medtiles reserves the right, at its sole discretion, to charge you fees for the use of the Platform and for sending and receiving communications. Medtiles will notify you of any fee charges through the Platform before implementing such fees, and at that time, you will have the option to continue using the Platform or not. If you choose not to pay, Medtiles reserves the right to immediately terminate your access to the Platform.

Illegal or Prohibited Use

Without prejudice to the generality of the foregoing, you may not and will not allow anyone else to, without our prior written authorization: (a) use, display, mirror, or frame the Platform, or any individual element within the Platform, Medtiles or Medtiles names, any Medtiles trademark, logo, or other information owned by Medtiles, or the layout and design of any page or form contained on a page, without the express written consent of Medtiles; (b) access, monitor, or copy any part of the Platform using any robot, "spider," "scraper," or other automated means or any manual process for any purpose; (c) violate the restrictions in any robots.txt file on the Platform or bypass or circumvent other measures employed to prevent or limit access to the Platform; (d) take any action that imposes, or may impose, in our sole discretion, an unreasonable or disproportionately large load on the Platform; (e) "deep-link" to any portion of the Platform for any purpose; (f) remove any watermarks, labels, or other legal or proprietary notices included in the Platform; (g) modify or attempt to modify the Platform, including any modification intended to disguise or alter any indications of ownership or origin of the Platform; (h) use the Platform as part of any sharing, lending, or multi-person use service; (i) attempt to assist, authorize, or encourage others to circumvent, disable, or bypass any security features or components, such as digital rights management software or encryption, that protect the Platform; (j) copy, reproduce, modify, distribute, transfer, sell, publish, broadcast, transmit, publish, license, or circulate, in any form, any part of the Platform; (k) create adaptations, translations, or derivative works based on the Platform, in whole or in part, or decompile, disassemble, reverse engineer, or otherwise exploit any part of the Platform; (l) use the Platform in a manner that violates the rights (including, but not limited to, intellectual property rights) of third parties.

Specifically regarding content, the user agrees not to do any of the following: (a) post, upload, submit, transmit, or otherwise make available any content that you do not have the right to make available under any law or contractual or fiduciary relationships; (b) take, post, upload, publish, transmit, or otherwise use any screenshots, reproductions, drawings, photographs, videos, transfers, or data of any images, comments, or contributions to the Platform; (c) post, upload, publish, submit, or transmit any content that: (1) infringes, misappropriates, or violates patents, copyrights, trademarks, trade secrets, moral rights, or other intellectual property rights or rights of publicity or privacy of any third party, (2) violates or encourages any conduct that would violate any applicable law or regulation or would give rise to civil liability, (3) is fraudulent, false, misleading, or deceptive, (4) is defamatory, obscene, pornographic, vulgar, or offensive, (5) promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group, (6) is violent or threatening or promotes violence or actions that are threatening to any person or entity, or (7) promotes illegal or harmful activities or substances, in each case as determined by our sole discretion; (d) send any unsolicited or unauthorized advertising, promotional materials, email, junk mail, spam, chain letters, or other form of solicitation from the Platform; (e) use the Platform or any of its content for any commercial purpose or for the benefit of any third party or in any manner not permitted by these Terms of Use; (f) collect or store any personal identification information from other users of the Platform without their express authorization; (h) impersonate any person or entity or misrepresent your affiliation with any person or entity; (i) violate any applicable law or regulation or any other professional conduct rules.

Medtiles will have the right to investigate and prosecute violations of any of the above to the fullest extent of the law. Medtiles may involve and cooperate with law enforcement authorities to prosecute users who violate these Terms of Use. By accepting these terms of use, you acknowledge that Medtiles has no obligation to monitor your access or use of the Platform or to review or edit any content, but has the right to do so for the purpose of operating the Platform, to ensure its compliance with these Terms of Use and the Privacy Policy, or to comply with applicable law or the order or requirement of a court, administrative agency, or other governmental body with jurisdiction. Medtiles reserves the right, at any time and without prior notice, to remove or disable access to any content that Medtiles, in its sole discretion, considers to be in violation of these Terms of Use, the Privacy Policy, or otherwise harmful to the Platform.

Conditions for the Use and Maintenance of the Service - User Obligations:

The user commits to using the service provided by Medtiles in accordance with the provisions of these service provision conditions, as well as in strict compliance with national, European, and international laws on the subject. Among other obligations, the user specifically commits to, but is not limited to: a) not acting as the origin, intermediary, or destination involved in the transmission of "SPAM"; b) refraining from using any program/file that consumes excessive resources on the server or that impairs its proper functioning; c) refraining from destroying or causing damage to the Medtiles server in any way; d) refraining from using the provided service to retain/disseminate/commercialize any type of material related to sex, prostitution, pornography, pedophilia, xenophobia, racism, related to trademark infringement and/or copyright and/or any other content that violates national legislation or constitutes the practice of criminal and/or administrative offenses under national legal order; e) refraining from maintaining sites that promote illegal activities; f) refraining from maintaining phishing/fraudulent sites or that constitute any type of violation of national legislation; g) refraining from maintaining blogs or forums where comments can be published without moderation and/or where there is no verification that those posting a comment are actually human and not a script.

In case of non-compliance by the user with the above-mentioned obligations, which are merely indicative and not exhaustive, Medtiles reserves the right to immediately terminate the service with just cause, and also reserves the right, if the situation constitutes a criminal offense, to report it to the competent authorities for the appropriate actions. If the user incurs the above-described situation and Medtiles is obliged to terminate the service with just cause, the user is not entitled to request from Medtiles the payment of any amount, whether as compensation, damages, and/or loss of profits, for the cessation of the provision of services. After uploading data to the platform, the validation and cleaning of the provided data are the responsibility of the user. The user must ensure the quality of the data, being responsible for this task.

Third-Party Websites

The Platform may provide links to third-party websites. We do not endorse the information contained on these websites nor do we guarantee their quality, accuracy, reliability, completeness, timeliness, non-infringement, merchantability, or suitability for any purpose. The content of any linked website is not under our control, and if you choose to access that website, you do so entirely at your own risk.

Advertisements

You acknowledge and agree that part of the Platform may be supported by advertising revenue and may contain advertisements or promotions. If you choose to have any personal, professional, or commercial relationships with any person whose products or services may be advertised on the Platform, you acknowledge and agree that these relationships are solely between you and that advertiser, and you further acknowledge and agree that Medtiles will have no liability or obligation for any losses or damages in which you may incur as a result of these relationships. Your representations, warranties, and obligations in this section survive the termination of these Terms of Use.

Viruses

We do not and cannot guarantee that the Platform will be compatible with any computer system or that the Platform, or any links from the Platform, will be free of viruses, worms, Trojan horses, or disabling devices or other code that manifests contaminating or destructive properties. You are responsible for implementing safeguards to protect the security and integrity of your computer system, and for the entire cost of any service, repairs, or connections of and to your computer system that may be necessary as a result of your use of the Platform. We will maintain industry-standard antivirus software and tools on the systems provided by the Platform.

Confidentiality of Communications

We do not guarantee the confidentiality of any communications made by you through the Platform. Although we generally adhere to industry-accepted practices in the security of the transmission of data to, from, and through the Platform—for example, Medtiles is certified by ISO-27001—you acknowledge and agree that we do not and cannot guarantee the security of data transmitted over the Internet or public networks in connection with your use of the Platform.

General Disclaimer

The use of the Platform is at your own risk. The Platform is provided "as is" and "as available." To the extent permitted by applicable law, we disclaim all warranties, representations, and conditions of any kind relating to the Platform, whether express, implied, statutory, or collateral, including, without limitation, the implied warranties and conditions of merchantability, merchantable quality, fitness for a particular purpose, and non-infringement, quality, accuracy, reliability, completeness, timeliness, or timeliness of the Platform, or that the Platform is or will be error-free or will operate without interruptions.

Limitation of Liability

Medtiles shall not be liable under any circumstances, except only for liability that results from a legal provision that cannot be excluded. You agree that the products provided by Medtiles are provided "as is" and "as available," and you also accept that not all information is provided exhaustively. To the fullest extent permitted by applicable law, Medtiles disclaims all warranties, express or implied, including but not limited to, implied warranties of merchantability and fitness for a particular purpose, and does not warrant that the functions contained will be available uninterruptedly or that they will be error-free, that such defects will be corrected, or that the web pages or the server that provides them will be free of viruses or other harmful elements; furthermore, to the fullest extent permitted by applicable law, Medtiles does not warrant or make any representations about the use, or the results of the use, of the materials on this web page, or the products in terms of quality, suitability, accuracy, reliability, security, or any other aspects.

Medtiles does not warrant in any way the operation and suitability for any use, security, effectiveness, or approval by national or foreign regulatory agencies, and disclaims liability for any consequences that may arise from future changes in the law, such as the prohibition of the use of the products or restrictions on the use of the products. You acknowledge and expressly agree that the products are used in association with other services that, if they malfunction or do not function, may provide incorrect data and/or prevent the products from functioning correctly and/or for their intended purpose, and you expressly waive Medtiles' liability for any failures and/or other circumstances that result from the operation of such services.

Medtiles will not be responsible for:

  • Losses attributable to the user;

  • Losses attributable to third parties;

  • Losses resulting from force majeure or acts of God;

  • Any circumstances in which any provision of the Terms of Use has been breached;

  • Damages resulting from interferences, interruptions, computer viruses, breakdowns, or disconnections of the operating system that may prevent access and navigation and/or access and correct use of the products by users;

  • Any other circumstances for which we are not responsible under the law.

Indemnification

As a user, you will defend, indemnify, and hold harmless us and all our employees, directors, affiliates, partners, employees, agents, successors, and assigns (collectively, the "Medtiles Indemnified Parties") from and against any liabilities, claims, demands, recoveries, losses, damages, fines, penalties, or other costs or expenses (including, but not limited to, reasonable legal and accounting fees), claimed against the Medtiles Indemnified Parties by third parties related to:

  • Your breach of any warranties, conditions, representations, or obligations under these Terms of Use or any documents referenced herein.

  • Your breach of any applicable law (including privacy laws) or the rights of third parties (including, without limitation, privacy or intellectual property rights).

  • Any false statements made to other Healthcare Professionals on the Platform.

Property Rights Notices

All trademarks, service marks, logos, trade names, and any other proprietary designations of Medtiles used here are trademarks or registered trademarks of Medtiles. Any other trademarks, service marks, logos, trade names, and any other proprietary designations are trademarks or registered trademarks of their respective parties.

Term and Termination

These Terms of Use will commence on the day you first use the Platform and will continue in effect until terminated by either party (Term). Either party may terminate these Terms of Use as follows: (a) we may terminate these Terms of Use at any time, with immediate effect and without prior notice to the user; and (b) the user may terminate these Terms of Use at any time by requesting via email (info@tiles-ai.com or, if you own an iOS device, through Medtiles in the respective menu) that these Terms of Use be terminated between the parties and that all your User Accounts be deleted, and ceasing use of the Platform. The change will be processed within thirty (30) days.

Geographic Application of the Platform

Not all services described on the Platform are available in all jurisdictions. Additionally, nothing on the Platform constitutes an offer or solicitation to buy or sell any product or service to any person in any jurisdiction where such offer or solicitation is prohibited by applicable law.

Applicable Law and Jurisdiction

These Terms of Use are governed by the applicable laws of Portugal. These laws apply to your use of the Platform, regardless of your domicile, residence, or physical location. The Platform is intended to be used only in jurisdictions where it can be legally offered for use. Except where restricted by applicable law, the user hereby consents to the exclusive jurisdiction and venue of the courts of the city of Porto, Portugal, in all disputes arising out of or relating to the use of the Platform. Independently of the application of these Terms of Use, the user may have additional obligations and responsibilities to comply with in the jurisdiction where they practice medicine or another healthcare profession. For the purposes of Article 18 of Law No. 144/2015, dated 08-09, we inform users that, in case of dispute, they may resort to Alternative Dispute Resolution (ADR), for which the following ADR entities are available: Centro de Arbitragem e Informação de Consumo do Porto: http://www.cicap.pt

General Provisions

These Terms of Use constitute the entire agreement between the user and Medtiles regarding the subject matter hereof and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between the user and Medtiles regarding the Platform. A printed version of these Terms of Use and of any notice given in electronic form will be admissible in judicial or administrative proceedings based on or relating to these Terms of Use to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. The failure to enforce any provision of these Terms of Use will not be considered a waiver of any provisions or rights. If any provision of these Terms of Use is held to be invalid, void, or otherwise unenforceable by a court of competent jurisdiction, that provision will be excluded from these Terms of Use, and all other provisions of these Terms of Use will remain in full force and effect.

Additional Apple App Store License Terms

If the Platform is provided to you through the Apple Inc. (Apple Inc. together with all of its affiliates, "Apple") App Store, the following terms and conditions apply to you, in addition to all other terms and conditions of these Terms of Use: The parties acknowledge that Apple has no obligation to provide any maintenance and support services with respect to the Platform. If any of the terms and conditions of these Terms of Use are inconsistent or in conflict with the applicable instructions of Apple for Minimum Terms for Developer’s End User License Agreement, located at http://www.apple.com/legal/internet-services/itunes/appstore/dev/minterms/ (the "Apple EULA Terms") or the App Store Terms and Conditions, located at http://www.apple.com/legal/internet-services/itunes/ca/terms.html (the "App Store Terms") as of the Effective Date, the terms and conditions of the Apple EULA Terms or the App Store Terms, as applicable, will apply to the extent of such inconsistency or conflict.

Additional Google Play License Terms

If the Platform is provided to you through the Google Inc. (Google Inc. together with all of its affiliates, "Google") Google Play, the following terms and conditions apply to you, in addition to all other terms and conditions of these Terms of Use: The user acknowledges that Google is not responsible for providing support services for the Platform. If any of the terms and conditions of these Terms of Use are inconsistent or in conflict with the Google Play Developer Distribution Agreement of Google, located at https://play.google.com/about/developer-distribution-agreement.html (the "Google EULA Terms") as of the Effective Date, the terms and conditions of the Google EULA Terms will apply to the extent of such inconsistency or conflict.

Assignment

The user may not assign or transfer these Terms of Use, by operation of law or otherwise, without the prior written consent of Medtiles. Any attempt by you to assign or transfer these Terms of Use without such consent will be null and void. Medtiles may assign or transfer these Terms of Use, at its sole discretion, without restriction. Subject to the foregoing, these Terms of Use will bind and inure to the benefit of the parties, their successors, and permitted assigns.

General

The failure of Medtiles to enforce any right or provision of these Terms of Use will not constitute a waiver of future enforcement of that right or provision. The waiver of any right or provision will be effective only if in writing and signed by a duly authorized representative of Medtiles. Except as expressly set forth in these Terms of Use, the exercise by either party of any of its remedies under these Terms of Use will be without prejudice to its other remedies under these Terms of Use or otherwise. If, for any reason, a court of competent jurisdiction finds any provision of these Terms of Use invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms of Use will remain in full force and effect.

We welcome and encourage you to provide feedback, comments, and suggestions for improving the Platform ("Feedback"). You may submit Feedback by sending us an email (info@tiles-ai.com). Appendix A - Terms Applicable to Healthcare Professionals

Permitted Use

The Platform is provided only for: (a) facilitating communication between healthcare professionals, and (b) receiving news updates from Medtiles and industry partners, including but not limited to scientific and professional organizations, pharmaceutical companies, medical device companies, healthcare providers, and recruitment companies.

Communication Agreements

If you wish to engage another healthcare professional through the Platform, you enter into an agreement with that healthcare professional by joining a group of two or more end-users, requesting or sending an invitation, or participating in a discussion. By sending a communication to a healthcare professional, the user is making an offer to enter into a contract based on these terms and conditions.

Notwithstanding the foregoing, the user acknowledges that they are interacting directly with the healthcare professional(s) and not with us, and that we are not a party to and will not be responsible in any way for the content and advice of any healthcare professional(s). We make no representations or warranties of any kind regarding agreements between healthcare professionals, and the user acknowledges and agrees that we are not an agent or representative of the user and/or another end-user.

Patient Data and Legal Compliance

Legal Obligations:

National laws, as well as the ethical and licensing requirements of your profession and the licensing and regulatory requirements of the healthcare entity, impose obligations regarding the protection of patient privacy and confidentiality that may limit the ability of physicians, healthcare providers, and persons acting on their behalf to use certain confidential patient information and/or transmit patient information to third parties without express consent.

Compliance Representations and Warranties:

The user represents and warrants that they will, at all times, comply with all laws directly or indirectly applicable to them that may now or in the future govern the collection, use, transmission, processing, receipt, communication, disclosure, maintenance, and storage of patient information, and requires that all persons or entities under their direction or control comply with these laws, including privacy laws and the Privacy Policy. The user is always solely responsible for obtaining and maintaining all patient consents, if applicable, and all other legally necessary or advisable consents or authorizations to disclose, process, retrieve, transmit, and view the patient information that they transmit, store, or receive in connection with the Platform and any third-party site.

Medtiles Disclaimer Regarding Patient Information:

We expressly assume no responsibility for the use or misuse of patient information or other information, whether intentional or inadvertent, that is transmitted, monitored, stored, or received during the use of the Platform. We reserve the right to modify or delete any content (as well as the right to revoke any membership or restrict access to the Platform) that, in our sole discretion, violates the above. Additionally, we assume no responsibility for making any decisions regarding your subsequent communication or notification obligations arising from any use or misuse of patient information or other information; these decisions and your actions in response to such decisions are your sole responsibility.

Your representations, warranties, and obligations in this section survive the termination of these Terms of Use.

All end-users of our platform, including healthcare professionals, are independent individuals and not partners, agents, or employees of our company.

The user acknowledges and accepts that we have no control over the quality, knowledge, and legality of each professional. We are not responsible for the acts, errors, omissions, representations, warranties, conditions, violations, or negligence of any healthcare professional or for any personal injury, death, property damage, or other damages or expenses resulting therefrom. We recommend that you conduct all due diligence before initiating any communication with a healthcare professional.

Medtiles is primarily an informative and educational tool and is not a diagnostic service; a confirmation service to provide certainty in diagnosis; a service that selects, guides, or promotes the therapy of medical conditions; a service for use in dangerous or mission-critical circumstances or for uses that require fail-safe performance; or in situations where failure may cause death or personal injury (collectively, "unauthorized purposes").

Given that Medtiles was not designed, intended, or authorized for such unauthorized purposes, you should not use the platform for such purposes or under such circumstances.
